Welcome to My CTO Friend. These Terms of Service ('Terms') govern your use of our website and services. By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access our services.

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

2. Services Description

My CTO Friend provides the following services:

• CTO as a Service consulting and advisory
• AI-powered development with expert technical guidance
• Technical strategy and architecture planning
• MVP development and product launches
• Team coaching and mentoring
• Technology audit and optimization

3. User Accounts and Registration

To access certain features of our services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account
• Not share your account with others

4. Service Terms and Conditions

Project Scope

• Scope of work will be defined in separate project agreements
• Changes to scope may result in additional fees
• Client approval required for scope changes

Deliverables

• Deliverables will be specified in project agreements
• Delivery dates are estimates unless otherwise specified
• Client cooperation required for timely delivery

Timeline

Project timelines are estimates based on the agreed scope. Delays caused by client or third parties may extend timelines.

5. Payment Terms

Pricing

• Prices are as quoted in project proposals
• All prices are in Euros unless otherwise specified
• Prices exclude applicable taxes

Payment Schedule

• Phase 1 (€500): Payment due upon project initiation
• MVP Development: 50% upfront, 50% on delivery
• Consulting services: Monthly in advance
• Late payments subject to 1.5% monthly interest

Refund Policy

Phase 1 payments are refundable within 7 days if no work has commenced. Other refunds evaluated case-by-case based on work completed.

6. Intellectual Property Rights

Ownership

• Client retains ownership of their pre-existing intellectual property
• Deliverables become client property upon full payment
• We retain rights to our methodologies and general knowledge

License Grant

Upon full payment, we grant you a perpetual, worldwide license to use the deliverables for your business purposes.

Third-Party Components

Some deliverables may include open-source or third-party components subject to their respective licenses.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes:

• Business strategies and plans
• Technical specifications and code
• Financial information
• Customer and supplier information

8. Warranties and Disclaimers

Our Warranties

• Services will be performed in a professional manner
• Deliverables will substantially conform to specifications
• We have the right to provide the services

Disclaimers

EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED 'AS IS' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

9. Limitation of Liability

To the maximum extent permitted by law, My CTO Friend shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, or business opportunities
• Damages exceeding the fees paid for the specific service

Our maximum liability for any claim shall not exceed the amount paid by you for the services in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless My CTO Friend from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

11. Termination

Termination by Either Party

• Either party may terminate with 30 days written notice
• Immediate termination for material breach
• Termination does not relieve payment obligations

Effects of Termination

Upon termination, client shall pay for all work completed. We will deliver completed work and return client materials.

12. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by the laws of France, without regard to conflict of law principles.

Dispute Resolution

• Parties will first attempt good faith negotiation
• If unresolved, mediation in Aix-en-Provence
• Final resort to courts of Aix-en-Provence

13. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between the parties
• Severability: If any provision is invalid, the remainder continues in effect
• Waiver: No waiver shall be effective unless in writing
• Assignment: You may not assign these Terms without our written consent
• Force Majeure: Neither party liable for delays due to circumstances beyond reasonable control

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of services after changes constitutes acceptance of the modified Terms.
